Terms and Conditions

Validly assumed as read, understood, and agreed upon as of: May 4, 2026

These Terms and Conditions (“TnC”) constitute a legally valid and binding contract between Edusap Private Limited, a company incorporated under the laws of India, having its headquarters at UL Cyberpark, Kozhikode, Kerala, India, 673016 (hereinafter referred to as “the Company”, “We”, “Us”, or “Our”) and the User (hereinafter referred to as “the Organization”, “You”, or “Your”).

BY CLICKING “I AGREE” OR BY ACCESSING THE SERVICES, YOU UNCONDITIONALLY ACCEPT THESE TERMS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE USE OF THE PLATFORM.

1. DEFINITIONS

1.1. “Services of EDUSAP” means all SaaS solutions, School ERP modules, Learning Management Systems (LMS), and technology infrastructure provided by the Company, including but not limited to admissions, fee management, academic tracking, and communication portals.

1.2. “Users” includes the employees, staff, teachers, students, and parents authorized by the Organization to access the platform.

1.3. “Records” means any data, files, student information, or academic materials uploaded by the User onto the EDUSAP infrastructure.

2. REGISTRATION AND ELIGIBILITY

2.1. Business Status: You represent that You are a legally registered educational institution (School, College, Trust, or Society) in compliance with all applicable local and national laws.

2.2. Authority: The individual registering the account warrants they are an authorized signatory of the Organization.

2.3. Onboarding: Activation of services is subject to the completion of Our onboarding process and the execution of a Master Service Agreement (MSA) or Digital Consent.

3. PAYMENTS AND SUBSCRIPTIONS

3.1. Fees: You agree to pay a recurring subscription fee (Monthly/Annual) as per the selected plan.

3.2. Taxes: All fees are exclusive of GST, which shall be payable by You at the prevailing statutory rates.

3.3. Suspension for Non-Payment: We reserve the right to suspend Services if payments are overdue. A 15-day “Cure Period” will be provided, after which the account may be terminated.

3.4. No Refunds: Once onboarded, EDUSAP is not liable to refund any fees if You stop using the Service for any reason whatsoever.

4. INTELLECTUAL PROPERTY RIGHTS

4.1. Ownership: Edusap Private Limited owns all titles, rights, and interests in the EDUSAP software, website, and all associated intellectual property.

4.2. Limited License: You are granted a non-exclusive, non-transferable, and revocable right to use the Services. You shall not attempt to duplicate, reverse engineer, or sublease the software.

5. DATA PRIVACY AND RESPONSIBILITY

5.1. Data Fiduciary: In accordance with the Digital Personal Data Protection (DPDP) Act, 2023, the Organization is the Data Fiduciary. You warrant that You have obtained the necessary parental consent for students under 18.

5.2. Data Accuracy: You are entirely responsible for data entries, fee settings, and the legality of the information provided to Your end-users.

5.3. Third-Party Integration: We utilize third-party cloud and payment gateways (e.g., AWS, Razorpay). By using EDUSAP, You agree to be bound by their respective Terms of Service.

6. ACCEPTABLE USE POLICY

You and Your Users shall not:

Post content that is defamatory, obscene, or violates religious sentiments.
Transmit viruses, malicious code, or engage in “flooding” of our servers.
Use the platform for any illegitimate financial transactions or money laundering.
Violate the privacy or intellectual property rights of any third party.

7. INDEMNIFICATION

7.1. You agree to indemnify and hold EDUSAP, its directors, and employees harmless from any claims, losses, or legal fees resulting from Your violation of these terms, misuse of student data, or infringement of third-party rights.

7.2. EDUSAP is not liable for any disputes between the Organization and its customers (parents/students).

8. LIMITATION OF LIABILITY

8.1. To the fullest extent permitted by law, EDUSAP’s total liability for any claim arising out of this TnC shall not exceed the subscription fees paid by You for the three (3) months preceding the claim.

8.2. We are not liable for indirect or consequential losses, including loss of profit or corruption of data caused by factors beyond our reasonable control (Force Majeure).

9. TERMINATION AND DATA RETENTION

9.1. Either party may terminate this TnC with 30 days’ notice.

9.2. Data Erasure: Upon termination, Your data will be held for 90 days to allow for a smooth transition or reactivation. After 90 days, all data will be permanently deleted from our servers unless a longer period is required by law.

10. MODIFICATIONS

We reserve the right to modify these terms. We will notify you via email. Continued use of the Services after 15 days of notification constitutes unconditional acceptance of the revised TnC.
